​RELEASE AND LIMITATION OF LIABILITY AGREEMENT THE HERITAGE TOURS, LLC

This Release and Limitation of Liability Agreement ("Agreement") is entered into by and between The Heritage Tours, LLC, an Ohio limited liability company ("Company"), and the undersigned participant ("Participant"), in consideration of the Participant's voluntary participation in the Better Together Leadership Development Tour ("Tour") scheduled for April 21–26, 2025.

1. Acknowledgment of Participation and Itinerary. Participant acknowledges and agrees to voluntarily participate in the Tour, which includes multi-day travel to multiple cities and states. The Company reserves the right to adjust the Tour itinerary at its sole discretion due to logistical or safety concerns. Participant agrees to comply with all changes.

2. Medical Treatment Authorization. Participant authorizes the Company, its employees, Escorts, or Designees to secure medical treatment in the event of an emergency. Participant agrees to be solely responsible for all related costs. Participant will provide accurate medical and emergency contact information in advance.

3. Assumption of Risk. Participant acknowledges the inherent risks associated with group travel, including but not limited to transportation incidents, illness, accidents, civil unrest, natural disasters, or acts of terrorism. Participant assumes all such risks knowingly and voluntarily. This includes any injury or loss sustained while interacting with third-party vendors or during off-itinerary excursions.

4. Third-Party Service Providers. Participant understands that the Company is not the owner or operator of any transportation, accommodation, restaurant, or venue services and serves solely as a coordinator. Therefore, the Company shall not be liable for acts or omissions of any third-party providers.

5. Release and Waiver of Liability. To the fullest extent permitted under Ohio law, including Ohio Revised Code § 2305.10, Participant releases and waives any and all claims against The Heritage Tours, LLC, its officers, directors, agents, employees, Escorts, Designees, contractors, and volunteers for personal injury, property loss, delay, or any damages arising out of or connected with participation in the Tour, except where caused by the gross negligence or willful misconduct of the Company.

6. Behavior and Dismissal Participant. agrees to act respectfully and in accordance with all instructions issued by the Company or its representatives. Disruptive conduct (including intoxication, harassment, violence, theft, or refusal to comply with rules) will result in immediate removal from the Tour. Participant shall bear full responsibility for all resulting expenses.

7. Financial Responsibility for Damages. Participant accepts full liability for any damage caused by their actions to persons or property during the Tour and agrees to indemnify and hold harmless the Company and its affiliates from any resulting claims, liabilities, and legal costs, including attorney's fees.

8. Photo and Video Release. Participant grants the Company an irrevocable, royalty-free license to use any photographic, video, or audio recordings taken during the Tour for promotional or educational purposes in all forms of media, without compensation.

9. Force Majeure. The Company shall not be liable for delay, cancellation, or failure to perform due to force majeure, including but not limited to natural disasters, pandemics, war, terrorism, government restrictions, labor strikes, or any event beyond the Company’s control.

10. Modification of Itinerary. Company may cancel or alter any aspect of the Tour itinerary due to operational needs, safety concerns, or circumstances beyond its control. Additional expenses incurred due to such changes are the sole responsibility of the Participant.

11. Non-Refundable Portions and Participant Termination. Tour fees are non-refundable for any unused portion. Participant may be removed from the Tour at any time for behavior deemed detrimental to the safety or enjoyment of others. No refund shall be issued for removal.

12. Travel Insurance. The Company does not provide insurance coverage. Participant is solely responsible for obtaining personal travel insurance for medical emergencies, baggage, and trip interruption or cancellation.

13. Limitation of Liability. In no event shall the Company be liable for indirect, incidental, punitive, or consequential damages, regardless of the theory of liability, even if advised of the possibility of such damages.

14. Governing Law and Jurisdiction. This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio. Any disputes shall be brought in the appropriate state or federal court in Franklin County, Ohio.

15. Binding Effect. This Agreement is binding upon Participant and their heirs, executors, administrators, successors, and assigns.

16. Entire Agreement and Acknowledgment. This Agreement constitutes the entire understanding between the parties. By registering, attending, or participating in any aspect of the Tour (including scholarship or guest participation), Participant agrees to all terms herein. Participant affirms they are at least 18 years old and legally competent to execute this Agreement.
